1. About these terms

These terms govern your use of the FJP Investment website. By continuing to use this website, you confirm that you accept these terms. If you do not agree with them, you should not use the website.

This website uses the FJP Investment brand. The UK client-facing entity is FJP Investment Ltd, a company registered in England and Wales under company number 08577024. Its registered office is Prospect House, 2 Athenaeum Road, Whetstone, London N20 9AE.

In these terms, “FJP”, “we”, “us” and “our” refer to FJP Investment Ltd where the context permits.

These Website Terms of Use are separate from any investment agreement you may subsequently enter into with a third-party investment provider.

2. Our role as an introducer

FJP provides an introduction service. Our role is limited to introducing qualifying investors to selected independent third-party companies offering alternative investment opportunities.

FJP does not provide regulated financial advice, personal recommendations, investment management, legal advice, tax advice or accounting advice. We do not determine whether a particular investment is suitable or appropriate for you.

An introduction by FJP does not constitute an endorsement, recommendation or guarantee of either the provider or the investment opportunity.

Following an introduction, the provider is responsible for supplying its investment documentation, conducting any required checks, answering questions about the opportunity and deciding whether to accept an investment.

FJP has no authority to enter into agreements on behalf of a provider or to bind a provider to any obligation.

3. Investor eligibility

Certain investment opportunities may only be communicated to particular categories of investor, including High Net Worth Individuals and Sophisticated Investors, where applicable.

We may therefore require you to complete the relevant investor declaration before providing access to information about particular opportunities.

Meeting the criteria for an investor category only determines whether you may be eligible to receive information about an opportunity. It does not mean that the opportunity is suitable or appropriate for you, nor does it mean that FJP has assessed your personal circumstances.

You are responsible for ensuring that the information supplied in an investor declaration is complete and accurate.

You should independently consider each opportunity and obtain appropriate professional advice before making an investment decision.

4. Your investment decision

Information provided by FJP or displayed on this website is for general information only. It does not take account of your financial circumstances, objectives, knowledge, experience, investment requirements or capacity to withstand a loss.

You are responsible for deciding whether to proceed with an opportunity and should not make an investment decision solely in reliance upon information appearing on this website or an introduction made by FJP.

Before investing, you should:

  • Read the provider’s complete investment documentation;
  • Consider the risks and terms carefully;
  • Conduct your own independent due diligence;
  • Ask the provider any questions you may have; and
  • Obtain independent financial, legal, tax and other professional advice where appropriate.

FJP does not assess or confirm whether an investment is suitable or appropriate for you.

5. Investment risks

Alternative investments can involve substantial risks. These may include illiquidity, limited transferability, delays, changes in valuation, failure of the investment provider and the loss of some or all of the capital invested.

Past performance is not a reliable indicator of future performance. Forecasts, projections, illustrations, target returns and anticipated timescales are not guaranteed.

Unless expressly stated otherwise, investment opportunities introduced by FJP are not regulated by the Financial Conduct Authority. Investors may not have access to the Financial Ombudsman Service or protection from the Financial Services Compensation Scheme.

You should read all provider documentation and risk warnings carefully and undertake your own independent due diligence before investing.

You should only invest money that you can afford to lose and should consider the effect that a complete loss would have upon your financial circumstances.

6. Your agreement and payment of investment funds

FJP does not accept investments and does not enter into investment agreements with investors.

If you decide to proceed, your investment agreement will be entered into directly between you and the relevant third-party provider. The provider—not FJP—will be responsible for the terms, administration and performance of that agreement.

All investment capital, subscription monies, deposits and other amounts payable in connection with an investment must be paid directly to the provider or to the bank account, trustee, custodian, solicitor or other recipient expressly identified in the provider’s official investment documentation.

Investment funds must never be paid to FJP. FJP does not receive, hold, safeguard, control or administer investor money.

You should verify payment instructions directly with the provider before transferring any money.

If anyone purporting to represent FJP asks you to transfer investment capital to FJP or to an account that is not specified in the provider’s official documentation, you should not make the payment and should contact us immediately.

FJP and/or an associated entity may receive a separate introduction fee or commission from the provider. This remuneration is paid by the provider and is separate from the investment funds paid by the investor.

7. Third-party providers

Investment providers introduced through FJP are separate and independent businesses.

Each provider is responsible for its own:

  • Investment documentation;
  • Financial information;
  • Statements and representations;
  • Regulatory status;
  • Investment structure;
  • Application and acceptance procedures;
  • Management and administration;
  • Use of investment funds;
  • Performance and payments; and
  • Compliance with its contractual obligations.

FJP does not manage or control the ongoing activities or performance of an investment provider.

An introduction does not constitute a warranty or guarantee concerning the provider, its financial position, its management, its business or the performance of its investment opportunity.

You are responsible for deciding whether to enter into an agreement with a provider and for reviewing the complete terms of that agreement before proceeding.

8. Remuneration and potential conflicts

FJP Investment and/or an associated entity may receive fees, commissions or other remuneration from a third-party provider following a successful introduction.

This means that FJP may have a commercial interest in an introduction. Where further disclosure is required in connection with a particular opportunity, it will be provided separately.

Any remuneration received from a provider is separate from the investment capital paid by an investor.

The availability or amount of remuneration should not be treated as an indication that an opportunity is suitable for you or that its performance is guaranteed.

9. Information supplied by providers

Some information presented by FJP may originate from investment providers or other external sources.

Although we take reasonable care when presenting information, FJP does not independently audit every statement, valuation, projection, forecast, legal document or financial figure supplied by a provider.

Information may change without notice and may become incomplete, inaccurate or out of date.

Before acting upon information appearing on this website or supplied following an introduction, you should confirm the current position directly with the provider and obtain independent professional advice where appropriate.

10. Availability of opportunities

An opportunity shown or discussed on this website may be amended, withdrawn, fully subscribed or otherwise become unavailable without notice.

Prices, returns, interest rates, security arrangements, timescales and other terms may also change.

FJP is not obliged to provide access to any particular opportunity or to accept a request for an introduction.

We may decline, suspend or discontinue an introduction where we reasonably consider it necessary or appropriate to do so.

This website may contain links to websites operated by third parties.

These links are provided for information and convenience only. FJP does not control those websites and is not responsible for their availability, security, accuracy, content or privacy practices.

The inclusion of a link does not necessarily imply endorsement of the third party or its products and services.

12. Intellectual property

Unless otherwise stated, the content of this website—including its design, text, graphics, branding, photographs, reports, guides and downloadable materials—is owned by or licensed to FJP.

Because FJP is not a party to your investment agreement and does not receive or control your investment funds, the provider is responsible for performing the obligations contained in its agreement with you.

FJP does not manage or control the provider, its business, its assets or the way in which it uses investment funds.

FJP is therefore not responsible for matters that are exclusively within the provider’s control, including:

  • Whether the provider accepts or rejects an application;
  • The administration of the investment;
  • The use or deployment of investment funds;
  • The operation or completion of an underlying project;
  • Valuations, distributions, interest or other payments;
  • Delays, defaults or changes made by the provider;
  • The provider’s financial performance or solvency;
  • Information supplied directly by the provider; or
  • The provider’s performance or breach of its agreement with an investor.

Any contractual claim concerning the investment, the handling of investment funds or the provider’s performance should ordinarily be addressed to the provider under the relevant investment agreement.

FJP remains responsible for its own obligations under applicable law.

Nothing in these terms excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or restricted.

15. Website availability

We do not guarantee that the website or any content on it will always be available, uninterrupted, secure or free from errors.

We may suspend, withdraw, modify or restrict any part of the website for operational, maintenance, security or business reasons.

We are not responsible for loss caused solely by events outside our reasonable control, including failures of internet, hosting, telecommunications or other third-party services.
